Confidentiality Agreement for the University Counsel Search Committee

It is imperative that the confidential nature of the Search Committee's work be respected by all members of the Committee at all times. Based on the advice of others and Duke's experience in previous searches, maintaining confidentiality is a critical element of the Committee's work. As the Committee's, individual and collective, acknowledgement of the important role that confidentiality plays in insuring a successful search, all members of the University Counsel Search Committee, the staff supporting the Committee's work, and persons or entities engaged by the University to assist in the search, are asked to sign the following statement.

As a member of the Search Committee charged with the responsibility of encouraging the interest of highly qualified individuals and evaluating the candidacies of those who apply or are nominated to be the next University Counsel, or an employee supporting the Search Committee, or an individual (or an individual on behalf of an entity) engaged by the University to assist the Search Committee, I acknowledge that I will have access to confidential materials relating to the search and the integrity of the search process depends on the highest standards of confidentiality. I, therefore, agree:

  1. To treat all of the Search Committee's deliberations as well as all information related to the work of the Search Committee, whether verbal or written, as confidential ("Confidential Information").
  2. To not disclose, directly or indirectly, Confidential Information to any person, firm, corporation or other entity other than a Search Committee member, an employee of the University supporting the Search Committee, or a person or entity engaged by the University to provide services to the Search Committee. Provided, however, in any event Confidential Information shall be disclosed only to those persons listed above who have a need to know that Confidential Information.
  3. To direct all inquiries about the Search and the work of the Search Committee to the Committee's chair or the chair's designee.
  4. To maintain the confidentially described in the above paragraphs both during the search and for all times thereafter.
  5. Within thirty (30) days of the conclusion of the work of the Search Committee, to transfer all related files and all Confidential Information in my possession to the Search Committee staff for appropriate retention as part of the official records of the Search Committee.

I further agree that if I receive a request to disclose Confidential Information pursuant to a judicial or government request, requirement or order, I will provide the University with sufficient prior notice in order to allow the University to take such action as may be required to contest such request, requirement or order.

I have read, understand, and agree to abide by all of the terms of this Confidentiality Agreement as a condition of service as a Search Committee member or as an employee supporting the Search Committee, or as individual (or an individual on behalf of an entity) engaged by the University to assist the Search Committee.
